Overview of Share Capital Transactions and Linked Shareholders

Introduction

Introduction

You can view the list of share capital transactions of a specific division, the list of its shareholders, and the main shareholders on a standard screen. Apart from obtaining the overview, you can also create and maintain share capital transaction records, link shareholders to the division, and define the main shareholders for the division. This functionality enables you to establish the parent-division ties in the organization chart of a group of companies.

Menu path

Go to Finance/Setup/Organization/Divisions, open a division card, and click Shareholders under the Monitor section.

Roles & rights

All users can view the list of share capital transaction records, shareholders and the main shareholders of a division but only users with function right 62Maintain subsidiaries and shareholders can create and maintain the share capital transaction records, link shareholders to the division, and define the main shareholder for the division. Users with the General manager and Controller roles have this function right.

For more details on what you can do with function rights or levels, go to System/Setup/Security/Function rights, select the required module, and then click on the relevant ID. To find out the functions you can perform with a particular role, go to System/Setup/Security/Roles, type in the description, click Refresh and then click the required link under the Role column.

Button

Refresh

Click this to refresh the screen. This screen is always refreshed automatically. 

New

Click this to create a new share capital transaction record when you are viewing the screen under the Share capital tab or linking a new shareholder to the division when you are viewing the screen under the Shareholders tab. For more information, see Creating and Maintaining Share Capital Transaction Records and Linking Shareholders to Division.

Note: This button is not available when you click the Main: Shareholder tab.

Change

Click this to change the main shareholder of the division. For more information, see Defining Main Shareholder for Division.

Note: This button is available only if you are viewing the screen under the Main: Shareholder tab.

Historical

Click this to view the share purchases and disposals transaction records. For more information, see Viewing Share Purchases and Disposals Transaction Records.

Click this to exit.

Description

Division

This displays the division of which you are viewing the list of share capital transaction records, shareholders, and main shareholders. This is also the division which you have selected in the overview of division. For more information, see Overview of Divisions. You can click the division link to view the division card.

Share capital tab

Under this tab, you will see the list of all the share capital transaction records for the ordinary and also preference shares. The Date column shows the date of share capital transactions, the No. of shares/issued (bought back) column shows the number of shares involved in the share capital transactions, the Par value column shows the par value of shares in the share capital transactions, and the Description column shows the description of the share capital transactions. Shareholders tab

Under this tab, you will see the list of all the ordinary and preference shares owners of the division. The Shareholders column shows the shareholders linked to the division, and the Total no. of shares held column shows the number of shares held by each shareholder. To edit a share transaction record, click the total number of shares held hyperlink under the Total no. of shares held column. Meanwhile, the Total % of owned to date shows the percentage ownership of shares held by each shareholder at current, and the Remarks column shows remarks such as “Sold” if there were records previously for the parent-child division relationship but the shareholder had sold off all the shares subsequently. In addition, the Remarks column will show “No transactions present” if you have linked a shareholder to the division but did not enter any share movement record or you have deleted all the shares transaction records for this shareholder due to errors. In this scenario, you can delete the shareholder from the list of shareholders by clicking delete.png Delete. For more information, see Linking Shareholders to Division.

Note: It is suggested that you do not delete a shareholder from the shareholders' list as displayed under the Shareholders tab because if you do, you will have to link the division to this shareholder again in the future when there are shares purchased by the shareholder. Although, there are no share transactions present currently, you may want to keep the shareholder in the list so that in the future, you can directly create a share transaction record for this shareholder without linking to the latter again. However, if you still keep the shareholder without any share transaction record present in the shareholders' list, this shareholder would remain as the main shareholder of the division if you have defined it as the main shareholder prior to the deletion of the share transaction records. In this scenario, you can manually change the main shareholder for the division. Alternatively, if you delete the shareholder from the shareholders' list, the main shareholder record for this shareholder will automatically be deleted and you can then define a new main shareholder for the division.

Main: Shareholder tab

Under this tab, the main shareholder of the division and the effective year/period it becomes the main shareholder of the division are shown. The Shareholder column shows the main shareholder of the division effective from the year and period as stated under the Effective from:Year / Period column. A main shareholder may not necessarily be the shareholder that holds the largest stake in the division. You can define a smaller shareholder to be your main shareholder in instances where the shareholder has a greater authority in controlling the division. By defining a main shareholder, the consolidation structure can be generated. At any point in time, only one main shareholder can be defined for a division.
